1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of EZBiller's website, platform, and services (collectively, the "Service") operated by Conch Labs ("Company," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

EZBiller is an invoicing and payment processing platform that enables businesses to create invoices and accept payments via ACH bank transfer and credit/debit card. The Service includes:

  • Invoice creation and management
  • Payment processing (ACH and card)
  • Customer management
  • Payment notifications and reminders
  • Reporting and analytics

3. Eligibility and Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Be a legal resident of the United States or operate a business registered in the United States
  • Have the authority to bind any business entity on whose behalf you use the Service
  • Provide accurate, complete, and current registration information
  • Complete any required identity verification (KYC/KYB) processes

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Subscription Plans and Fees

EZBiller offers tiered subscription plans with varying features and transaction limits. Current plans include:

  • Solo (Free): Basic invoicing with standard processing fees
  • Starter: Enhanced features with reduced ACH fees
  • Pro: Advanced features with further reduced fees
  • Business: Full feature access with lowest fees

Payment Processing Fees: Each transaction incurs processing fees based on your subscription tier and payment method (ACH or card). Current fee schedules are displayed on our pricing page and in your dashboard.

Billing: Subscription fees are billed monthly in advance. We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Payment Processing

Payment processing services are provided by Stripe, Inc. ("Stripe"). By using payment features, you also agree to Stripe's Services Agreement and Connected Account Agreement.

ACH Payments: ACH bank transfers typically take 3-5 business days to process. Funds are subject to ACH network rules and may be returned for insufficient funds, closed accounts, or disputes.

Card Payments: Card payments are processed in real-time and are subject to the card networks' rules regarding chargebacks and disputes.

Refunds: You may issue refunds through the Service. Refunds are processed to the original payment method and typically take 5-10 business days to appear in the customer's account.

6. ACH Authorization

When your customers pay via ACH, they authorize the electronic debit of their bank account. You agree to display and obtain acknowledgment of the NACHA-compliant authorization language provided through the Service before processing ACH payments.

7. User Responsibilities

You agree to:

  • Use the Service only for lawful business purposes
  • Provide accurate information on all invoices
  • Comply with all applicable laws, including tax obligations
  • Respond promptly to customer disputes and refund requests
  • Maintain adequate records of transactions
  • Not use the Service for prohibited business types (see Section 8)

8. Prohibited Uses

You may not use the Service for:

  • Illegal activities or the promotion of illegal activities
  • Fraudulent transactions or money laundering
  • Adult content, gambling, or controlled substances
  • Weapons, ammunition, or explosives
  • Multi-level marketing or pyramid schemes
  • Harassment, abuse, or harm to others
  • Infringing on intellectual property rights
  • Any activity that violates Stripe's Restricted Businesses list

9. Intellectual Property

The Service, including its design, features, and content, is owned by Conch Labs and protected by intellectual property laws. You retain ownership of your data and content. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE SERVICE.

IN NO EVENT SHALL CONCH LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Conch Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

You may close your account at any time through the Service or by contacting support. We may suspend or terminate your account if you violate these Terms or for any other reason with notice.

Upon termination, your right to use the Service ceases immediately. We may retain your data as required by law or legitimate business purposes. Any outstanding fees remain due.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. The arbitration shall take place in Colorado. You waive any right to participate in class action lawsuits or class-wide arbitration.

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

15. General Provisions

  • Governing Law: These Terms are governed by the laws of the State of Colorado.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Entire Agreement: These Terms constitute the entire agreement between you and Conch Labs regarding the Service.
  • No Waiver: Failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms. We may assign our rights without restriction.
